The objective of requesting a legal searchis to uncover any civil litigation records involved by the party concerned (either a corporate entity or and individual). In particular, we focus on identifying whether the party concerned has ever been involved as a defendant in any litigation matters. These civil litigation records are primarily retrieved from High Court, including winding-up/ bankruptcy petitions/ debt & etc.
Company Search Report
This is a report primarily retrieving information filed at the Companies Registry. Such information remains publicly available. Searcher, however, is obliged to provide personal information such as name, ID card number/ passport number since 2021. To a certain extent, thisis obligations aligning with the promotion of anti-offensive criminalise doxxing activities. Business firms, having concerns over its staff’s privacy, may consider obtaining one of those reports.
Any forms of company filed at the Company Registry are available for search. These records covers public limited companies, private limited companies, overseas companies and companies limited by guarantee. Note that, capital structure, name of shareholders and share allotments may not be available for overseas companies. An overseas company is an entity incorporated outside the jurisdiction in Hong Kong, such as BVI, Cayman Islands & etc.
A company search report comprises all particulars available within an annual return, which includes the respective company file number, former and existing company names, establishment of the company, registered office address, list of shareholders, list of directors, existing mortgage and charges, trade names & etc. An annual return is a form of legal filings which obliged to submit to the Companies Registry within 42 days after its annual general meeting.
Information of any newly incorporated companies may not be available to the public in the first 15-20 days upon its establishment. Changes incurred with any filings attached, such as share allotment, change of registered address & change of directors/ secretary, is usually available for access to the public within 2-5 days. Note that, there is no separate filings required at times where shares transfer takes place. Such information is only available when the latest annual return is submitted to the Company Registry.
Land Search
Clients may wish to obtain information of aparticular address including the name of the developer, transaction records,mortgage details, floor plan, deeds of the land or property. This service isbest suitable for investors who attempts to negotiate with the existing propertyowner for a better deal.
